The chamber adopted the consent motion by 111 votes to none, with 130 deputies registered. The parliamentary docket records the decision as resolution 319 and shows that the Senate had already consented on 6 May 2026. The agreement was signed in Nairobi on 23 September 2025 and covers Czech individual and corporate income taxes and Kenya's income tax under its Income Tax Act.[1][2][3]
Payment limits and technical fees
For a beneficial owner resident in the other state, Articles 10–12 cap source-state tax at 10% of gross dividends, 12% of gross interest and 12% of gross royalties. Article 10 also permits an additional branch-profits tax of up to 10% after income tax and other income taxes are deducted. The royalty definition includes software and industrial, commercial or scientific equipment.[2]
Article 13 separately allows source taxation of managerial, technical and consultancy fees, capped at 12% of the gross amount for a qualifying beneficial owner. It excludes payments to the payer's employee, teaching by or in an educational institution, and services bought by an individual for personal use. Government, central-bank and specified state-owned or guaranteed financing can qualify for residence-state-only interest taxation under Article 11.[2]
Permanent establishments and relief
Article 5 treats a building site, construction, assembly or installation project, or connected supervisory activity, as a permanent establishment after more than six months. It aggregates substantially similar same-project activity of associated enterprises, subject to an overlap exclusion. Furnishing services, including consultancy, also creates a permanent establishment when activity exceeds six months in aggregate in any twelve-month period.[2]
Article 22 uses a foreign-tax credit, capped at the domestic tax attributable to the relevant income, while allowing a contracting state to use an exemption method where its domestic law permits. Article 27 adds a principal-purpose test and preserves domestic anti-avoidance rules. Multinational groups should therefore model both the headline rates and the beneficial-owner, permanent-establishment, related-party and anti-abuse conditions.[2]
Notifications control application
Article 28 makes entry into force depend on the later diplomatic notification that domestic procedures are complete. Withholding provisions then apply to income paid or credited from 1 January of the following calendar year, and other income-tax provisions to taxable years beginning from that date. Information exchange starts on entry into force, subject to its separate period rule. No later notification or operative date was established by the parliamentary materials reviewed, so treaty benefits should not yet be treated as available.[1][2]
