Philippines clarifies conditional withholding-tax invoice fields
On 22 October 2026, the Philippine Bureau of Internal Revenue issued Revenue Memorandum Circular No.112, clarifying conditional creditable withholding-tax information on invoices and the transition for existing invoice stocks and systems.

Revenue Regulations No.6/2026 added item 22 to section 6(B) of RR7/2024: applicable creditable withholding tax must be shown separately. Its transition permits unused and unissued invoices to be used until consumed with the required stamp, while newly printed invoices require the prescribed wording. The regulation has its own publication-dependent commencement clause; its signature date is not substituted for that commencement.[2]
The circular does not make every business-to-business purchaser a withholding agent. The invoice information is conditional on an actual withholding obligation. The buyer communicates the relevant classification, applicable rate, tax base and withholding amount; the invoice is not a basis for assuming a new rate or payer obligation.[1]
Gross sales and the withholding amount remain distinct. Withholding affects the net amount collectible, not the selling price or VAT base as if it were a discount. An invoice entry alone does not establish entitlement to a tax credit.[1]
Manual invoice stocks and different computerised or electronic system cohorts have distinct transition arrangements. Groups should confirm the actual payment, buyer obligation and invoicing system before changing fields or timing. The clarification is not a blanket exemption from invoice requirements or an automatic reduction in tax payable.[1][2]
