China publishes consolidated merger and restructuring tax guidance

Published 2 min read

On 30 October 2026, China's Ministry of Finance published a guide to tax policies for enterprise mergers and restructurings, accompanied by a policy compilation and worked examples.

Official document:
MOF restructuring tax guide, 30 October 2026; EIT Implementing Regulations article 75; Caishui [2009] No. 59 / [2014] No. 109; SAT 2026 No. 13; MOF/SAT 2026 No. 13, 2023 Nos. 49/51 and 2024 No. 14
Development date:
2026-10-30

The guide brings together corporate income tax, VAT, deed tax, land appreciation tax and stamp-duty material, with a compilation of the relevant instruments and nine worked examples. Its publication is a new official guidance event, not the enactment of a general tax exemption for mergers or reorganisations.[1][2][3]

For enterprise income tax, article 75 of the Implementing Regulations ordinarily requires recognition of asset-transfer gains or losses and a transaction-price tax basis unless the finance and tax authorities provide otherwise. The guide explains the special-treatment framework under Caishui [2009] No. 59, as amended by Caishui [2014] No. 109, with conditions relating to commercial purpose, the transaction and consideration, and business and ownership continuity.[2][4]

It also incorporates SAT Announcement 2026 No. 13. For qualifying mergers and demergers, agreed special treatment can apply to the portion attributable to consenting resident-enterprise shareholders, while other portions receive ordinary treatment. The guidance does not give nonresident shareholders the same deferral merely because they participate in the transaction.[2][3]

VAT is a separate assessment. Under MOF/SAT Announcement 2026 No. 13, the restructuring must transfer a relatively independently operable business package containing assets, associated receivables, liabilities and employees. It must have a reasonable commercial purpose; where the transferor is a general VAT taxpayer, the recipient must also be one. An isolated asset transfer does not satisfy that package condition.[2][5]

Property and documentary taxes have their own conditions. Announcements 2023 No. 49 and No. 51 address specified deed-tax and land-appreciation-tax cases, including investor-continuity requirements; the latter excludes transactions where either party is a property developer. The compilation also includes Announcement 2024 No. 14 on stamp duty, distinguishing qualifying transfer documents from capital increases that remain taxable. These policies have their own periods, including relevant end dates in 2027.[2][6][7]

For groups considering a Chinese reorganisation, the practical consequence is to map the legal transaction, consideration, participating shareholders, transferred business and supporting documents against each relevant tax. Special income-tax treatment carries reporting requirements under Announcement 2015 No. 48; the guide does not itself introduce a new filing deadline. Historic instruments must be read with later amendments and partial repeals, rather than applied in isolation.[2]
