Estonia sends replacement UK tax treaty to Parliament
On 19 October 2026, the Estonian Government initiated Bill 1063 SE to ratify the replacement Estonia–United Kingdom tax convention and protocol signed in Tallinn on 28 August. The Riigikogu records the bill as sent to first reading, so the convention is not yet ratified or in force.

The convention would replace the bilateral treaty signed in 1994 as its provisions become effective for the relevant taxes. It retains the permanent-establishment framework, including a construction or installation threshold of more than 12 months, while adding an anti-fragmentation rule to the exceptions for preparatory and auxiliary activities. Associated enterprises would continue to receive a corresponding adjustment where one state makes an arm’s-length pricing adjustment and the other state agrees that adjustment is justified.[1][2][3]
Dividends, interest and royalties
Article 10 would generally exempt dividends from source-state tax where the beneficial owner is resident in the other state. A 10% ceiling would apply where the beneficial owner is an individual. Distributions by an investment vehicle from tax-exempt immovable-property income would instead carry a 15% ceiling, except where the beneficial owner is a qualifying pension fund. The rules do not disturb tax on the distributing company’s underlying profits.[2][3]
Interest would generally be taxable only in the recipient’s residence state, although the source state could charge up to 10% where the beneficial owner is an individual. Royalties would likewise be residence-state only. Estonia’s explanatory memorandum notes that royalty treatment under the existing convention has already operated on that basis since 2015 through its most-favoured-nation provision, so the new wording should not be presented as an entirely new zero rate.[2][3]
Property gains and dispute resolution
Article 13 preserves source-state taxation for gains from immovable property and extends it to disposals of shares or comparable interests deriving more than 50% of their value, directly or indirectly, from immovable property in that state. The convention also adds a principal-purpose test for treaty benefits, assistance in tax collection and mandatory arbitration where a mutual-agreement case remains unresolved two years after both competent authorities receive the information needed to address it.[2][3]
Ratification still required
Entry into force requires both states to complete their domestic procedures and exchange diplomatic notifications. Estonia would apply the convention from 1 January following the entry-into-force year. The United Kingdom would apply withholding provisions from the first day of the second month after entry into force, corporation tax from the following 1 April, and income tax and capital gains tax from the following 6 April. Groups should therefore continue applying the existing convention until the relevant replacement dates and separately confirm domestic-law withholding, beneficial ownership and principal-purpose-test exposure.[1][2][3]
