California ruling assigns distributor-hub sales outside the state
On 22 October 2026, California’s Franchise Tax Board issued Chief Counsel Ruling 2026-01, assigning the named taxpayer’s sales to out-of-state distributor hubs outside California despite later shipments into the state.

- Chief Counsel Ruling 2026-01; Revenue and Taxation Code section 25135
- Development date:

The ruling interprets Revenue and Taxation Code section 25135 for a corporate group selling tangible goods through independent distributors. Its holding concerns taxable years beginning on or after 1 January 2024; it does not amend the statute.[1]
On the submitted facts, title, possession, risk of loss and control passed at or before delivery to the distributors’ out-of-state hubs. The distributors undertook substantial sorting, repacking, palletising, labelling and storage. The seller took no further part in handling or distribution and did not know the goods’ later destination.[1]
The FTB treated the sale as ending at those hubs. It applied its existing Legal Ruling 95-3 analysis: meaningful receipt and warehousing can terminate a shipment, so a purchaser’s later movement of goods does not determine the seller’s sales-factor assignment. That differs from a stop solely for immediate onward transportation.[1][2]
For multinational supply chains, the relevant review is the documented distribution arrangement and actual activities—not the warehouse address alone. This is a fact-specific illustration, not a general safe harbour: the ruling is expressly limited to the named taxpayer and submitted facts and may cease to apply if those facts or relevant law change.[1]
The named requester is instructed to attach the ruling and its request to appropriate returns, if any, when filed, or to responses to notices or inquiries. The letter sets no new general filing deadline and creates no universal attachment obligation.[1]
