South Africa updates mutual agreement procedure guidance

Published 2 min read

On 23 October 2026, the South African Revenue Service published Issue 4 of its guide to mutual agreement procedures for treaty-based international tax disputes.

Official document:
Guide on Mutual Agreement Procedures (Issue 4); Income Tax Act 58 of 1962, section 108; Tax Administration Act 28 of 2011, sections 104 and 164
Development date:
2026-10-23

The guide is general guidance rather than a binding ruling. It explains the procedure under the mutual-agreement article found in South Africa's double-tax agreements, which take domestic effect through section 108 of the Income Tax Act 58 of 1962 after parliamentary approval and Gazette publication. The procedure can address treaty-inconsistent taxation involving dual residence, excess withholding, permanent establishments, profit attribution and transfer-pricing economic double taxation.[1][2]

Treaty deadlines remain decisive

A group must check the particular treaty before filing. South African treaties generally follow the three-year period running from first notification of the action giving rise to treaty-inconsistent taxation, and SARS generally treats the assessment issue date as that notification. The request must show a probable, fact-based risk, not merely a possible adjustment. SARS may accept a case before an assessment but defer work until double taxation becomes clear.[1]

Domestic remedies can run alongside MAP

MAP and a domestic objection may proceed concurrently under the Tax Administration Act 28 of 2011. A later judicial decision constrains the competent authority, so the guide recommends pausing domestic litigation after an appeal has been lodged while MAP proceeds. Treaty or principal-purpose-test disputes can enter MAP, as can a claim that a domestic anti-abuse rule conflicts with a treaty; a dispute confined to interpreting the domestic anti-abuse rule cannot.[1][3]

Complete evidence starts the process

The written request must contain the guide's minimum factual and legal information. Transfer-pricing cases require details of the adjustment, currency calculations, accounting treatment, secondary adjustments, penalties and related-party documents. SARS permits qualifying recurring issues for multiple filed years where facts remain the same. A protective filing that lacks enough information for an eligibility decision is not an initiated case; the request is treated as received only when complete.[1]

Relief and cash-flow consequences

SARS says competent authorities will endeavour to resolve cases within an average 24 months, but they are not required to reach agreement. Transfer-pricing settlements may include corresponding adjustments, relief from secondary adjustments and repatriation terms. Filing for MAP does not suspend payment: a taxpayer disputing the liability should lodge its objection or appeal and separately request suspension under section 164 of the Tax Administration Act. Multinational groups should therefore protect treaty and domestic deadlines together, assemble a complete evidence pack and model the cash cost while the case is pending.[1][3]
