The agreement allocates taxing rights for cross-border income. Hong Kong's announcement says Lao tax paid by Hong Kong residents will be creditable against Hong Kong tax on the same income, subject to the Inland Revenue Ordinance (Cap. 112). It identifies existing Lao dividend and interest withholding rates of 10%, against which the agreed reductions would operate.[1]
Article 10 caps dividend tax at 5% where the beneficial owner is a resident company directly holding at least 15% of the payer's capital throughout a 365-day period including payment; specified reorganisation-related ownership changes are disregarded. The cap is 8% otherwise. Articles 11 and 12 set 5% caps for interest and royalties paid to a resident beneficial owner. Specific government and listed public-body exemptions also apply to dividends and interest.[2]
These are not unconditional rates. Effectively connected permanent-establishment or fixed-base income is treated separately; the interest and royalty limits do not protect excess payments attributable to special relationships. Article 27 also contains a principal-purpose anti-abuse test.[2]
Article 28 makes entry into force dependent on the later notification that domestic procedures are complete. Hong Kong application starts with assessment years beginning on or after 1 April in the following calendar year. Lao withholding applies to income derived from 1 January in that following year, with a corresponding rule for other income taxes. No calendar commencement date is yet established.[2]
The Hong Kong Government says an order under the Inland Revenue Ordinance (Cap. 112) will be tabled for Legislative Council negative vetting. Groups should distinguish the signed terms from currently available relief and verify eligibility before changing withholding instructions.[1]
